Terms & Conditions

These Terms & Conditions ("Terms") govern your use of RyderTech.ng, the RyderTech client portal, courses, labs tools, and any services or projects delivered by RyderTech ("the Studio"). By engaging us for a project, enrolling in a course, using a labs tool, or accessing this site, you agree to these Terms.

1. Our Relationship with You

When you commission a project from us, we become your service provider, not your employee. You remain responsible for your business decisions, content, and the accuracy of the requirements you provide. We'll confirm scope and price in a written agreement before any work begins.

2. Project Scope & Engagement

1. You approve a written scope + quote (email or signed document) before we start.
2. We'll flag any scope changes in writing before proceeding — changes may adjust timeline or cost.
3. Final deliverables ship once scope sign-off is complete and payment clears.

3. Payment Terms

50% deposit is required upfront to secure a project slot and cover initial build + infrastructure costs. The remaining 50% is due before we hand over final access, source files, or production credentials. We accept bank transfer (Zenith / First Bank / GTBank) on invoices issued in NGN. Currency conversions at the market rate on the payment date; any card/third-party fees are your responsibility.

Late payments may pause development until cleared. We don't charge interest, but we reserve the right to withhold delivery for unpaid balances.

4. Revisions & Feedback

Each project includes a reasonable number of review rounds within the agreed scope. Additional revisions beyond scope are billed as extras. To keep timelines fair, please consolidate feedback per round and return it within 3 business days.

5. Intellectual Property

Ownership of deliverables transfers to you only after full payment is received.

Until full payment:

• We retain all rights to source code, designs, documentation, and prototypes.
• You may not host, resell, or redistribute the work.

After full payment:

• You receive the final deliverables and source files as described in the scope.
• Pre-existing components, frameworks, and open-source libraries remain subject to their own licenses.
• We may showcase the work in our portfolio (with your name/brand, no confidential content) unless you ask us not to.

6. Your Materials & Responsibilities

You're responsible for the accuracy and legality of content you provide (text, images, data, brand assets). If you submit content that causes us to incur cost, breach third-party rights, or face legal action, you'll indemnify us and reimburse any resulting costs.

7. Third-Party Services

Projects may use third-party services (hosting providers, cloud APIs such as Google Gemini, payment gateways like Paystack, email providers like EmailJS, analytics). You'll hold the relevant accounts and bear those costs, unless we agree to manage them on your behalf and bill accordingly. We're not responsible for third-party outages or policy changes, though we'll help you adapt where reasonable.

8. Labs Tools, Courses & Lead Magnets

1. Our /labs calculators and audit tools are provided "as is" without warranty. Results are estimates, not guarantees — use them for guidance and to start a scoping discussion.
2. Courses and templates are licensed (not sold). You may not redistribute, resell, or republish course content or templates without written permission.
3. Lead-magnet downloads (e.g. the website cost guide) are gated solely to capture a business email for follow-up. Your email is never sold to third parties.

9. Disclaimer

To the fullest extent permitted by Nigerian law, RyderTech disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. We're not liable for indirect, incidental, or consequential damages arising from our work or your use of our tools, even if advised of the possibility. Our total liability for any claim related to a project is limited to the amounts you paid us under that agreement.

10. Termination

Either party may end an agreement with written notice. On termination, you pay for all work completed through the termination date, and we'll deliver whatever is finished at that point on a pro-rata basis. Section 5 (IP transfer on full payment) still applies to any outstanding balance.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute is subject to the exclusive jurisdiction of the courts of the Federal Capital Territory (Abuja).

12. Changes to These Terms

We may update these Terms — the "Effective" date above reflects the latest revision. Material changes that affect your rights will be communicated via our website or direct channel before they apply.

13. Data Protection & Privacy

To use our contact forms, lead-magnet downloads, or labs tools, we collect only the information you enter (typically a name, email address, and company) plus your IP/time. We rely on Nigeria's Data Protection Regulations (NDPB) as our baseline: your data is used only to respond to your request, deliver services you've engaged us for, and send you project-related follow-ups — never sold to third parties. We process data through EmailJS (for lead capture) and Paystack (for payments), and store it behind password-protected access.

A full Privacy Policy is being drafted; until it is published, you may request a copy of your data or ask us to delete it by writing to hello@rydertech.ng.
